• User: any registered account holder.
• End Client: a User who purchases a product or books a service.
• Vendor: a User who lists products or services for sale/booking.
• Service Provider: a Vendor offering services (e.g., doctors, lawyers, labs, rentals, professional services).
• Referrer: a User who shares referral links or submits leads that result in sales/bookings.
• Pointer: a User who submits product/service leads plus seller/owner contact details for potential listing.
• Call Center: Derick247 support that assists with sales, bookings, and payment links.
• Wallet: in-Platform balance where eligible earnings are credited.
• Commission: amounts paid under Commission Programs (Section 10).
• Platform Net Margin: Platform-defined net margin per transaction after taxes, processor fees, refunds/chargebacks, and applicable costs.

End Clients may pay via PayPal balance, credit/debit card via PayPal, or request Call Center assistance for a payment link or offline confirmation. For services/bookings, Vendors set availability, durations, cancellation/no-show terms, and deposits where applicable. A transaction is “Completed” when (i) the product is delivered/accepted or the service performed, and (ii) payment is captured and not refunded/charged back during the clearing period.

7.1 Delivery Commitments & ETA Window

Where Derick247 is the seller/logistics party of record, the Platform arranges delivery; otherwise the Vendor is responsible. Shipping/fulfillment dates are estimates and may vary by ±2–3 days.

7.2 Currency & Pricing Errors (Conversion API)

If a pricing error results from a currency-conversion API issue, we will honor the USD value displayed at checkout; non-USD amounts are estimates and may be adjusted to match the USD price.

7.3 Pre-sales & Pre-bookings

For pre-orders or pre-bookings, charges and access occur when the item/service becomes available. You may cancel until availability. If the item is withdrawn before availability, we will cancel and, where applicable, reverse the charge.

7.4 Subscriptions (if enabled)

Subscriptions auto-renew (weekly/monthly/annual). Free trials (if any): cancel before trial end to avoid charges. Cancellation is effective at the end of the current period; no pro-rated refunds unless defects or required by law. Price increases apply to the next cycle with 30 days’ notice; if you do not agree, cancel before the next charge.

• Crediting: Eligible Commissions are credited after a clearing period of [14–30] days.
• Withdrawal availability: Wallet funds are withdrawable at any time once Available and thresholds are met.
• Payout methods: PayPal (and others if added). PayPal fees are borne by the requester.
• Automatic payouts: With bank/processor connections set, weekly automatic payouts run when you have a positive payable balance.
• Wallet transfers: Wallet-to-Wallet transfers (if enabled) are allowed; off-platform cash exchanges are private between Users and not the Platform’s responsibility.
• We may deduct fees, taxes, adjustments, negative balances, or loan repayments from your Wallet.

Commissions are earned only on Completed Transactions recorded by the Platform and correctly attributed to your referral or lead, subject to these Terms and program rules shown in your dashboard.

10.1 Product/Service Referral (End-client referral)

If an End Client purchases via your tracked referral link or via a Call Center conversion tied to your lead, you earn [X%] of Platform Net Margin per completed sale/booking. Multi-item carts and multi-day rentals aggregate per transaction.

10.2 Vendor/Business Referral

Refer a Vendor who is approved and lists on the Platform to earn 3% of Platform Net Margin from that Vendor’s eligible transactions for 12 months from the first eligible sale.

10.3 Pointer Program

If you submit a valid lead with seller/owner contact data and the Platform converts it into a live listing, you earn 5.0% of Platform Net Margin per sale/booking while it remains live and eligible.

10.4 Multi-Tier Network (optional, if enabled)

Up to 5 tiers of Referrers you onboard: Tier 1: 2.50%; Tier 2: 1.25%; Tier 3: 0.75%; Tier 4: 0.25%; Tier 5: 0.25%; CAP: 5.00% combined per eligible transaction. Attribution is determined by Platform tracking; self-referrals are prohibited.

• Interest & repayment: Interest [rate shown in dashboard] accrues. Weekly repayments are auto-deducted from your Wallet as referrals generate earnings.
• No earnings for 30 days: If no referral earnings occur for 30 consecutive days, the entire outstanding principal plus accrued interest may be debited in full from your Wallet.
• We may deny, limit, or cancel credit at our discretion, and report delinquency/fraud to authorities.

• Unlimited referrals are allowed only if you offered relevant items to those prospects. Random/low-quality leads may result in account suspension.
• Zero-conversion cap: After 100 referrals with 0 sales, the system may limit to 10 referrals/month until conversion improves.
• We may block/de-prioritize referrals if a provider is non-responsive after 3 separate call attempts and may reduce or eliminate pointer rewards for such listings.

We use technical measures for tracking, but attribution can be affected by off-platform actions (e.g., a Vendor replaces links; a buyer switches devices). To the extent permitted by law, the Platform is not responsible for losses caused by credential compromise, third-party bypass, or off-platform changes breaking tracking. Bypassing the Platform to avoid fees/commissions is prohibited and may lead to suspension and loss of earnings.

• Vendor and Referrer must comply with return decisions.
• Related Commissions are debited from all Wallets that earned on the transaction.
• Insufficient Wallet balance: the system may open a Platform loan/advance for the negative amount (interest per Section 11) and auto-deduct from future transactions.
• Vendors must refund the full amount received when required. The Platform may pursue legal/financial/digital remedies for non-payment.

Reviews must follow our content policies (no spam, fraud, or IP violations). We may moderate or remove reviews that violate these rules.

You are responsible for reporting and paying taxes on your earnings. We may withhold taxes where required and request tax documents.

We may delay, withhold, freeze, claw back, or offset funds if we suspect fraud, policy violations, excessive chargebacks, AML/KYC issues, or errors. We may report suspicious activity to civil/military/international authorities and freeze transactions or Wallets under investigation.

Transactions are between End Clients and Vendors/Service Providers. The Platform may assist, but is not a party to those contracts. You release Derick247 from claims arising out of such transactions.

The Platform is provided “as is” and “as available.” To the maximum extent permitted by law, Derick247 disclaims all warranties and shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business interruption.

You agree to indemnify and hold Derick247 harmless from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your listings, conduct, content, or breach of these Terms.

We may modify these Terms or any program (including Commissions) with at least 30 days’ notice via the Platform or email. Continued use after the effective date constitutes acceptance. We may suspend or terminate accounts for breaches or risk concerns.

These Terms are governed by Honduran law. You consent to the exclusive jurisdiction of the courts in San Pedro Sula, Cortés, Honduras.

You consent to receive notices electronically and to transact via electronic signatures and records.

These Terms are provided in English and Spanish; Spanish controls in case of conflict. These Terms are the entire agreement; if any provision is unenforceable, the remainder stays in effect.
